Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the website, platform, dashboards, software, tools, applications, and related services operated by CODE SAMDEVX PRIVATE LIMITED, under the brand Mr.Manager ("Mr.Manager," "we," "us," or "our").

By accessing, registering for, subscribing to, or using Mr.Manager, you ("you," "Provider," or "User") agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

1. About Mr.Manager

Mr.Manager is a software platform designed to help service providers, institutes, academies, businesses, coaches, tutors, studios, and authorised staff manage operational workflows, including but not limited to:

  • services and service models;
  • schedules and session planning;
  • attendance and session tracking;
  • member and participant management;
  • billing, invoices, receipts, and payment records;
  • notifications, reminders, and related workflows;
  • service status actions such as reschedule, renewal, pause, termination, or similar operational records.

Mr.Manager currently operates primarily as a provider-side business management platform.

2. Eligibility

You may use the Services only if:

  • you are legally capable of entering into a binding agreement;
  • you are using the Services for a lawful business or authorised organisational purpose;
  • if you are using the Services on behalf of a business, institute, academy, or other entity, you have the authority to bind that entity to these Terms.

If you are accepting these Terms on behalf of an entity, "you" includes both you individually and that entity.

3. Account Registration and Access

To use certain features, you may be required to create an account and provide accurate, complete, and current information.

You agree that:

  • all registration information you provide will be truthful and kept updated;
  • you are responsible for maintaining the confidentiality of your account credentials;
  • you are responsible for all activities that occur under your account;
  • you will immediately notify us of any unauthorised access, misuse, or security issue relating to your account.

We may allow multiple staff users, team users, or role-based access under a provider account. You remain responsible for users authorised under your account, business, or organisation.

4. Scope of Licence

Subject to these Terms and any applicable subscription plan, Mr.Manager grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your internal business operations and lawful use of the platform.

You do not acquire ownership of the Services or any intellectual property in the platform by using it.

5. Provider Responsibilities

You are solely responsible for how you use the Services and for the lawfulness, accuracy, and appropriateness of the data, records, communications, and workflows created or managed through your account.

You agree that you will:

  • use the Services only for lawful purposes;
  • maintain accurate business, service, customer, and billing information;
  • ensure that data entered into the platform is relevant to your legitimate business operations;
  • use appropriate judgment before relying on automated or platform-generated outputs;
  • independently verify critical business, operational, financial, tax, attendance, or service decisions where required.

You are also solely responsible for:

  • your services and business offerings;
  • your relationship with your customers, students, members, participants, or clients;
  • your pricing, billing decisions, refund decisions, and business policies;
  • any notices, approvals, or consents required in relation to the data you upload or manage;
  • compliance with laws applicable to your own business.

6. Customer, Member, and Participant Data

You may use Mr.Manager to store or manage information relating to your customers, students, members, participants, parents, guardians, or related individuals.

You represent and warrant that:

  • you have the lawful right to collect, upload, process, and manage such data using the Services;
  • you have provided any required notices to such individuals;
  • you have obtained any required consent, authorisation, or approval under applicable law;
  • where minors or child-related data is involved, you have obtained any required parental or guardian permissions and are otherwise legally authorised to manage such records.

Mr.Manager does not independently verify whether you have obtained all required notices or consents.

7. No Cross-Provider Access

Mr.Manager is designed to keep provider data separated.

Accordingly:

  • one provider is not permitted to access another provider's customer records, attendance records, business data, billing records, service records, or related confidential information;
  • you may only access information associated with your own account, authorised staff, business workflows, and permitted platform features;
  • you may not attempt to gain access to other providers' accounts, records, systems, or data.

Any attempt to bypass access controls, role restrictions, or platform boundaries is a material breach of these Terms.

8. Acceptable Use Restrictions

You agree that you will not:

  • use the Services in violation of any law or regulation;
  • upload false, misleading, infringing, unlawful, abusive, or fraudulent data or content;
  • impersonate another person, business, or entity;
  • attempt to probe, scan, reverse engineer, disrupt, or compromise the platform or its security;
  • interfere with the operation, integrity, or availability of the Services;
  • copy, scrape, harvest, or extract platform data except as expressly permitted by us;
  • use the Services to transmit malware, malicious code, or harmful instructions;
  • use the Services to infringe privacy, intellectual property, contractual rights, or legal rights of any person;
  • attempt to access features, data, or accounts for which you are not authorised.

We may monitor, suspend, restrict, or terminate access where misuse, abuse, suspicious activity, legal risk, or security risk is identified.

9. Subscription Plans, Fees, and Payments

Certain features of Mr.Manager may be offered on a paid subscription basis.

By subscribing to a paid plan, you agree:

  • to pay all applicable subscription fees, charges, and taxes;
  • that fees may be charged in advance, on a recurring basis, or according to the plan selected by you;
  • that subscription fees are payable in the manner displayed at the time of purchase or renewal;
  • that failure to pay applicable fees may result in suspension, downgrade, or termination of access to some or all Services.

Unless otherwise stated, all fees are non-refundable except as expressly set out in our applicable refund or cancellation policy.

We reserve the right to revise pricing, plan features, limits, or subscription structures at any time. Any revised pricing will apply prospectively.

10. Provider Billing and Customer Payments

Mr.Manager may help you manage business records relating to service fees, invoices, receipts, payment status, billing periods, payment confirmations, and related workflows.

However:

  • you remain solely responsible for the underlying service relationship between you and your customer, student, member, or participant;
  • you remain solely responsible for the correctness, lawfulness, and enforceability of your business charges, invoices, billing records, tax treatment, and commercial decisions;
  • Mr.Manager does not automatically become a party to the underlying service transaction between you and your customer merely because the platform is used to manage related records.

Where payment integrations are enabled, payment processing may be handled by authorised third-party payment partners.

11. Invoices, Receipts, and Platform Records

The Services may generate or facilitate invoices, receipts, attendance records, service history, payment records, or related operational documents based on data entered or actions taken by users.

You acknowledge and agree that:

  • such records are generated based on the data and workflows used in the platform;
  • you are solely responsible for reviewing and validating such records before relying on or sharing them;
  • you remain responsible for ensuring that any invoice, receipt, or billing record used in your business is legally accurate and suitable for your purposes;
  • Mr.Manager is a platform for record management and workflow facilitation and is not a substitute for independent legal, accounting, tax, or regulatory advice.

12. Third-Party Services

Mr.Manager may integrate with or rely on third-party service providers, including but not limited to:

  • payment gateways or payment processors;
  • hosting and infrastructure providers;
  • cloud storage providers;
  • SMS, email, notification, or messaging service providers;
  • analytics, logging, or security service providers.

Your use of third-party integrations may also be subject to the terms and privacy policies of those third parties. Mr.Manager is not responsible for the acts, omissions, outages, or policies of unrelated third parties.

13. Data Privacy

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you acknowledge that:

  • you have read the Privacy Policy;
  • personal data may be processed as described in the Privacy Policy;
  • provider data and provider-managed customer data are handled in accordance with our platform design, access controls, and applicable privacy practices.

14. Availability, Updates, and Platform Changes

We may update, modify, improve, suspend, discontinue, or replace any feature, functionality, workflow, interface, integration, plan, or part of the Services at any time.

We do not guarantee that:

  • the Services will always be available without interruption;
  • all features will remain available permanently;
  • the Services will always be error-free or completely uninterrupted.

We may perform maintenance, upgrades, security work, or infrastructure changes that temporarily affect availability.

15. Beta, Evolving, or Preview Features

Some features may be released in beta, limited, evolving, preview, pilot, or early-access form.

Such features may:

  • change over time;
  • be incomplete;
  • contain bugs or limitations;
  • be modified or withdrawn without notice.

Use of such features is at your own risk.

16. Intellectual Property

The Services, including the platform, software, design, branding, workflows, logos, text, interface elements, and underlying technology, are owned by or licensed to CODE SAMDEVX PRIVATE LIMITED and are protected by applicable intellectual property laws.

Except for the limited right to use the Services under these Terms, no rights are granted to you.

You may not:

  • copy, reproduce, republish, distribute, or commercially exploit the Services except as expressly permitted;
  • reverse engineer, decompile, disassemble, or attempt to extract source code except where prohibited by law;
  • remove proprietary notices, branding, or legal notices from the platform.

"Mr.Manager" and associated branding remain our property or the property of our licensors.

17. Feedback

If you provide feedback, suggestions, ideas, feature requests, recommendations, or comments regarding the Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use, adapt, improve, publish, and incorporate such feedback without compensation or attribution to you.

18. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services, with or without notice, if:

  • you breach these Terms;
  • you fail to pay applicable fees;
  • your use creates legal, regulatory, reputational, operational, or security risk;
  • we reasonably believe your account is involved in misuse, fraud, unauthorised access, or unlawful conduct;
  • we are required to do so by law or lawful authority.

You may stop using the Services at any time. Subscription cancellation, account closure, and data retention may still remain subject to billing terms, legal obligations, technical processes, backup cycles, and our Privacy Policy.

Sections of these Terms which by their nature should survive termination shall survive, including sections relating to payments due, intellectual property, disclaimers, limitations of liability, indemnity, confidentiality, dispute resolution, and legal compliance.

19. Confidentiality

You agree not to misuse or disclose any non-public information obtained through the Services, including:

  • platform workflows;
  • business records not belonging to you;
  • restricted operational information;
  • security-related information;
  • other providers' information, if accessed improperly or accidentally.

You must promptly notify us if you become aware of any unauthorised disclosure, access, or confidentiality issue relating to the Services.

20. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Mr.Manager disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted availability;
  • accuracy, completeness, or reliability of outputs;
  • suitability of the Services for your business, legal, tax, accounting, or regulatory requirements.

You are solely responsible for assessing whether the Services are appropriate for your business needs.

21. Limitation of Liability

To the maximum extent permitted by law, CODE SAMDEVX PRIVATE LIMITED, Mr.Manager, and our directors, officers, employees, affiliates, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data, service interruption, or loss arising from:

  • your use of or inability to use the Services;
  • errors, downtime, bugs, or delays;
  • incorrect data entered by you or your users;
  • actions of customers, staff, authorised users, or third parties;
  • billing, payment, tax, refund, or commercial disputes between you and your customers;
  • unauthorised access caused by your failure to secure credentials;
  • reliance on platform-generated records without independent review.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by you to Mr.Manager for the Services during the three (3) months immediately preceding the event giving rise to the claim.

If you are using a free plan or have not paid any amount to us in that period, our total aggregate liability shall not exceed INR 1,000.

22. Indemnity

You agree to defend, indemnify, and hold harmless CODE SAMDEVX PRIVATE LIMITED, Mr.Manager, and our directors, officers, employees, affiliates, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your use of the Services;
  • your business operations, services, or conduct;
  • data, content, records, or communications uploaded, entered, or managed by you;
  • your relationship with your customers, students, members, participants, or staff;
  • your violation of these Terms;
  • your violation of any law, regulation, privacy obligation, tax rule, contractual obligation, or third-party right.

23. Electronic Communications and Acceptance

You agree that:

  • these Terms may be accepted electronically;
  • communications from us may be sent electronically, including by email, dashboard notice, in-app message, or platform notification;
  • electronic records and electronic acceptance shall have the same force and effect as physical records or written signatures, to the extent permitted by applicable law.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

25. Dispute Resolution and Arbitration

If any dispute, controversy, or claim arises out of or in connection with these Terms or the Services, the parties shall first attempt to resolve the matter amicably through good-faith discussions.

If the dispute is not resolved within 30 days of written notice of the dispute, it shall be referred to and finally resolved by arbitration.

The arbitration shall be governed by the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted as follows:

  • Seat and venue of arbitration: Mumbai, Maharashtra, India
  • Number of arbitrator(s): one sole arbitrator
  • Language of arbitration: English

Each party shall bear its own costs, subject to the arbitral award.

Nothing in this section prevents either party from seeking interim, injunctive, or equitable relief from a court of competent jurisdiction.

Subject to the arbitration clause above, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction for matters where court jurisdiction is required.

26. Force Majeure

We shall not be liable for any delay, interruption, failure, or non-performance caused by events beyond our reasonable control, including:

  • acts of God;
  • natural disasters;
  • flood, fire, or epidemic;
  • war, terrorism, civil unrest, or government action;
  • labour disruptions;
  • internet or telecom failures;
  • cyberattacks or infrastructure outages;
  • power failures;
  • third-party service failures.

27. Assignment

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, restructuring, acquisition, sale of assets, or corporate reorganisation.

28. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

29. Waiver

Any failure or delay by us in exercising any right or remedy under these Terms shall not operate as a waiver of that right or remedy.

30. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription, pricing, refund, or service-specific terms expressly incorporated by reference, constitute the entire agreement between you and CODE SAMDEVX PRIVATE LIMITED regarding the Services and supersede prior discussions, understandings, or agreements relating to the same subject matter.

31. Changes to These Terms

We may revise these Terms from time to time.

When we update these Terms, we will update the Effective Date above. Continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
